These Terms of Use ("Terms") govern your access to and use of the Upmatches mobile application (the "App") provided by <<TODO: Legal entity name>> ("we", "us"). By creating an account or using the App, you agree to these Terms.
1. Eligibility
You must be at least <<TODO: 13 / 16 / 18>> years old to use Upmatches. If you are younger than the age of majority in your jurisdiction, you must have permission from a parent or legal guardian.
2. Your Account
- You are responsible for keeping your phone and Apple ID secure. You are responsible for all activity in your account.
- Provide accurate information. Misrepresenting your identity, sport, or skill level may result in account suspension.
- One person, one account. Don't share accounts.
- You can delete your account at any time from Settings -> Account -> Delete account.
3. Acceptable Use
You agree NOT to:
- Harass, threaten, or discriminate against other users.
- Post sexually explicit content, content depicting violence, or content promoting illegal activity.
- Impersonate another person.
- Use the App to organize illegal activities or events that violate venue rules.
- Reverse-engineer the App, attempt to extract source code, or interfere with other users' use of the App.
- Scrape or harvest user data.
We may suspend or terminate your account if you violate these rules.
4. User-Generated Content
When you post content (game titles, remarks, profile information, avatar):
- You retain ownership of your content.
- You grant Upmatches a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content within the App for the purpose of operating the service.
- You are responsible for the content you post. We are not.
5. Reporting and Moderation
- Every user-authored game and player profile has a "Report" button.
- Reports are reviewed within 24 hours. Confirmed violations result in content removal and may result in account suspension or termination.
- You can also "Block" another user, which hides all of their content from you.
- To appeal a moderation decision, email support@upmatches.com.
6. Games, Venues, and Real-World Activity
Upmatches helps players coordinate offline sports games. We are NOT a venue operator, event organizer, or promoter. Specifically:
- We do not verify the identity, skill, or fitness of players.
- We do not own or operate the venues listed.
- We do not collect, hold, or refund money paid for games. Pricing shown is set by the host; payment happens between players outside the App.
- You play at your own risk. Wear appropriate gear. Follow venue rules. If you have a medical condition, consult your doctor.
7. Payments
The App is free to download. As of v1.0 we do not process in-app payments. Any future paid features will be subject to additional terms presented at the time of purchase.
8. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT GAMES WILL BE AVAILABLE, ENJOYABLE, OR THAT OTHER PLAYERS WILL HONOR COMMITMENTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPMATCHES AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED USD 100.
Some jurisdictions don't allow these limitations; in that case, the limitations apply to the maximum extent permitted.
10. Indemnification
You agree to indemnify and hold us harmless from claims arising out of your violation of these Terms or your conduct toward other users.
11. Termination
We may suspend or terminate your access at any time for any reason, including violation of these Terms. You may stop using the App at any time. Sections 4-10 survive termination.
12. Apple-Specific Terms
These Terms are between you and Upmatches, not Apple. Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support. In the event the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation. Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms.
13. Governing Law and Disputes
These Terms are governed by the laws of <<TODO: jurisdiction — e.g., Singapore>>, without regard to conflict-of-laws rules. Disputes will be resolved in the courts of <<TODO: jurisdiction>>, except where you have non-waivable consumer rights in your home jurisdiction.
